The complete compliance checklist for a new Zambian business

Incorporation is only the first stop. Here is every registration a new company in Zambia needs, in the order to do them.

Most founders think of compliance as a single event: you register with PACRA, you get a certificate, and you are done. In reality, incorporation is the first of at least four registrations every Zambian company needs, and depending on your sector, it could be as many as nine.

This checklist walks through them in the order we recommend, because some registrations depend on others being complete first.

1. PACRA: reserve your name and incorporate

Start with a name search and reservation. Once approved, file your incorporation documents: articles of association, details of directors and shareholders, and your registered office. You will receive a Certificate of Incorporation and a Certificate of Share Capital. Keep both safe; banks and regulators will ask for them repeatedly.

2. ZRA: TPIN and tax types

With your incorporation certificate in hand, register for a Taxpayer Identification Number. Then register for the tax types that apply: income tax or turnover tax, PAYE if you will employ anyone, and VAT if you expect to cross the threshold. Do not skip this even if you are pre-revenue; nil returns still need to be filed.

3. NAPSA and NHIMA: before your first payday

The moment you employ someone, including a director on salary, you must register as an employer with NAPSA and NHIMA. Contributions are due monthly by the 10th. Register before your first payroll run so the first contributions can be filed on time.

4. Workers Compensation and local council

Employers must also register with the Workers Compensation Fund Control Board, which assesses an annual premium. Your local council, such as Lusaka City Council, will require a business levy and possibly trading permits depending on your premises.

5. Sector-specific affiliations

Contractors need NCC registration. Government suppliers need ZPPA. Investors above certain thresholds benefit from ZDA registration. Health, ICT, energy and environmental sectors have their own regulators. This is where a compliance map saves you months of discovery.
